These Terms govern access to and use of VoiceReplyAI products and services by enterprise customers and their authorized users.
Effective date: March 30, 2026
1. Agreement Scope
These Terms are a binding legal agreement between VoiceReplyAI and the entity that purchases or uses the Services ("Customer"). By accessing or using the Services, Customer accepts these Terms on behalf of itself and its affiliates authorized under an Order Form.
2. Service Nature
VoiceReplyAI provides a software platform that enables browser-based enterprise voice AI experiences. The Services include hosted software, APIs, models, tooling, and related support identified in an Order Form.
3. Customer Responsibility for Data
Customer is solely responsible for all prompts, recordings, transcripts, files, personal data, regulated data, and other content submitted to or generated through the Services ("Customer Data"), including lawfulness, accuracy, rights clearance, and consequences of processing.
Customer represents and warrants it has provided all required notices and obtained all consents, authorizations, and legal bases necessary to collect, use, transfer, and process Customer Data and end-user interactions through the Services.
4. Allocation of Data Processing Roles
As between the parties, Customer determines the purposes and means of processing Customer Data and is the primary controller/business for all Customer Data.
VoiceReplyAI acts only as a processor/service provider on Customer's behalf and only according to Customer instructions, these Terms, and any applicable data processing addendum. Customer remains exclusively responsible for compliance with privacy, employment, telecom, AI, biometrics, and sector-specific laws applicable to Customer's use case.
5. Prohibited Use and Sensitive Data
Customer must not use the Services to process data that requires heightened statutory protections unless explicitly authorized in writing by VoiceReplyAI. Unless expressly permitted, Customer will not submit protected health information, payment card data, government-issued identifiers, biometric identifiers, or children's data.
6. Third-Party Services
The Services may rely on third-party infrastructure, model providers, telephony providers, analytics, or integrations. VoiceReplyAI is not responsible for third-party services, third-party terms, or third-party processing actions outside VoiceReplyAI's reasonable control.
7. AI Outputs and Customer Validation
AI-generated outputs may be inaccurate, incomplete, or inappropriate. Customer is solely responsible for reviewing, validating, and approving outputs before use and for all decisions and actions taken based on outputs.
8. Security and Risk Allocation
VoiceReplyAI uses commercially reasonable technical and organizational safeguards. Customer acknowledges no system is entirely secure and assumes all risks related to Customer configuration choices, user permissions, and Customer-side security controls.
9. Indemnification by Customer
Customer will defend, indemnify, and hold harmless VoiceReplyAI and its affiliates, officers, and personnel from any claim, investigation, penalty, loss, damage, or expense (including reasonable attorneys' fees) arising from or related to Customer Data, Customer instructions, Customer workflows, Customer's legal non-compliance, or Customer's breach of these Terms.
10. Disclaimer of Warranties
The Services are provided "as is" and "as available." To the maximum extent permitted by law, VoiceReplyAI disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, security, and error-free operation.
11. Limitation of Liability
To the maximum extent permitted by law, VoiceReplyAI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business interruption.
VoiceReplyAI's aggregate liability arising out of or relating to the Services will not exceed the fees paid by Customer to VoiceReplyAI for the affected Services during the twelve (12) months preceding the event giving rise to liability.
12. Suspension and Termination
VoiceReplyAI may suspend or terminate access immediately if Customer use poses legal, security, reputational, or operational risk, or violates these Terms. On termination, Customer remains responsible for all obligations accrued before termination.
13. Governing Law; Venue
These Terms are governed by the laws specified in the applicable Order Form. If none is specified, these Terms are governed by Delaware law, excluding conflict-of-law principles, and disputes will be resolved exclusively in the state or federal courts located in Delaware.
14. Updates to Terms
VoiceReplyAI may update these Terms from time to time. Updated Terms are effective on posting unless a later date is stated. Continued use of the Services after updates constitutes acceptance.
